The Saudi legal rule

Parties can pre-agree damages for a non-monetary obligation without default notice as a condition of entitlement. Proof of no harm defeats the sum. On the debtor’s request a court may reduce an excessive amount or allow for part performance. An increase requires a creditor’s request and greater harm caused by fraud or gross fault. [1]

What the records establish

Identify the obligation covered, accrual rate and cap. For three buildings, record each handover and whether the owner actually began using it. If the court appoints an expert, ask it to define the technical question in the order. The expert can quantify loss on the late stages and distinguish completed work when reduction is sought. [4]

Likely defence and next step

Test an early handover defence against occupation agreements and utility readings. Show the clause calculation and actual financial impact separately so disputed days and disputed loss can be isolated.

Applicability on 2026-10-30

Published on 19 June 2023, the law took effect on 17 December 2023. [2][3] It applies to commercial transactions where compatible with their nature and no special commercial provision governs. For earlier events, check whether a party invokes a conflicting applicable provision or judicial principle, or a time bar had already begun to run before commencement. [2]
