Can a disputed repair bill be set off against an invoice?

Check both parties’ identities and each debt before netting repair costs against the balance.

The Saudi legal rule

Statutory set-off requires reciprocal due debts that are undisputed, judicially claimable and attachable, consisting of money or things alike in kind and quality. An interested party must invoke it. A contested repair bill raises a particular difficulty with the undisputed-debt requirement. [1]

What the records establish

Prepare separate schedules identifying legal entities, due dates, currencies and bases of debt. Retrieve any admission of the repair amount and any contractual netting clause. Between merchants, reconcile each entry in regular mandatory books to its supporting record. Entries can be rebutted. Examine any objection to the repair invoice before treating that debt as undisputed. [4]

Likely defence and next step

The work may belong to an affiliate or rest on a provisional estimate. Identify the admitted portion and propose a documented settlement, itemising contested parts and labour separately.

Applicability on 2026-10-30

Published on 19 June 2023, the law took effect on 17 December 2023. [2][3] It applies to commercial transactions where compatible with their nature and no special commercial provision governs. For earlier events, check whether a party invokes a conflicting applicable provision or judicial principle, or a time bar had already begun to run before commencement. [2]
