The Saudi legal rule
After default notice in a bilateral contract, the innocent party may seek performance or rescission and damages where justified. A court may refuse rescission for a minor unperformed part. A contractual right to terminate without judgment dispenses with notice only upon express waiver. [1]
What the records establish
Identify the obligation, breach date, cure sought and any contractual cure period. Use an agreed channel or a legally prescribed means of notification. Keep delivery records and the exact attachments. [1] Preserve the termination notice and its dispatch and delivery log for the agreed address in digital form for production. An extract carries the record’s evidentiary weight to the extent it matches that record. [4]
Likely defence and next step
If the counterparty points to substantial completion, explain the operational importance of the missing item, such as licence keys needed to run a system. Reassess actual cure before proceeding.
Applicability on 2026-10-30
Published on 19 June 2023, the law took effect on 17 December 2023. [2][3] It applies to commercial transactions where compatible with their nature and no special commercial provision governs. For earlier events, check whether a party invokes a conflicting applicable provision or judicial principle, or a time bar had already begun to run before commencement. [2]
