The Saudi legal rule
Clear wording governs. Where interpretation is necessary, common intention is assessed in light of the transaction, custom and prior dealings, with clauses read together. First establish which documents became part of the bargain. [1]
What the records establish
Order the quotation, purchase order and confirmation by transmission time and retain the actual attachments. A quoted carton price and an ordered item price may reconcile after conversion to a common unit. Preserve the acceptance email with the version of the quotation actually attached in digital form for production. An extract carries the record’s evidentiary weight to the extent it matches that record. [4]
Likely defence and next step
If one party invokes terms printed on a later invoice, ask when those terms first reached the other party. Demonstrate the financial result of each reading on one invoice before extrapolating.
Applicability on 2026-10-30
Published on 19 June 2023, the law took effect on 17 December 2023. [2][3] It applies to commercial transactions where compatible with their nature and no special commercial provision governs. For earlier events, check whether a party invokes a conflicting applicable provision or judicial principle, or a time bar had already begun to run before commencement. [2]
