The practical question and its limits
Several shareholders vote together. Does that establish vote buying?
Start by identifying what happened and who is authorized to act, separating verifiable records from unproven conclusions. Partner decisions and assembly voting; identify the company form, governing documents and the persons entitled to vote.
Legal framework and verification limits
Companies Law Article 261(b) addresses benefits obtained, guaranteed or promised for voting in a particular direction or abstaining with the intent of harming the company’s interests; it also addresses the person providing, guaranteeing or promising that benefit. Aligned voting alone does not satisfy this description. Review the benefit, its connection with the vote and the purpose of harming the company.

What could change the interpretation?
Coordination may reflect a legitimate governance alliance or differing commercial judgment; a payment may concern an independent obligation unrelated to voting. A record missing from one person’s file may exist elsewhere. Ask authorized custodians about its source, version and date, and record both supporting and contrary evidence.
Records and questions
- Meeting notice and agenda
- Proxies, attendance and voting results
- Relevant agreements and communications
- Evidence of the benefit and when it was offered or provided
- What specific benefit was promised and by whom?
- What establishes a link between the benefit and the vote or abstention?
- What supports an intention to harm the company, and what evidence points elsewhere?
Hypothetical example
Hypothetical example: a partner receives money before voting for an asset sale. Determine whether it repaid an earlier loan or purchased the vote, and assess the company’s interests using information available at the time.
Initial response and readiness
If authorized, identify custodians and the relevant preservation scope while retaining originals and context. Do not alter source files or access personal accounts or devices without authority. If harm continues or proceedings are known, obtain advice on context-specific action. These steps do not automatically call for confrontation, dismissal or reporting. Maintain voting and proxy records and document interests and benefits linked to the decision without unauthorized monitoring of personal communications.
Professional review
Technical questions may require an accountant or another specialist. Their findings on value, images or data flows do not replace analysis of legal responsibility. Identify the prospective client before seeking the case file: company representation and defence of an individual are separate routes, and joint representation is not assumed.
Request a consultation
A paid legal consultation begins with identifying the parties, a conflict check and agreement on scope and fees. It includes an initial review of documents within an agreed scope, a meeting to discuss facts and questions, and a brief written summary of options, missing information and the next step in the agreed language. An internal investigation, settlement, report or representation requires a separate engagement as appropriate.

Consultation and next steps
The consultation is paid. Work starts after identifying the parties, checking conflicts and agreeing scope and fees. It includes an initial review of agreed documents, a meeting and a brief written summary of options, missing information and the next step in the agreed language.
Internal investigation, settlement, reporting and representation are separate engagements. Representation of an affected company and defence of individuals are separate routes subject to conflict checks.
