The practical question

Money was paid following a proposal, and the project later failed. Which statement, if any, was false when the decision was made?

Lenders, investors and customers who paid in reliance on disputed representations; distinguish capital-market conduct from general contractual disputes.

Reconstruct the payment decision from records that preceded it, then separate a contractual claim from a possible offence. Non-performance may support a financial claim without proving fraud. Conversely, a contract does not rule out obtaining money through a fabricated representation. Examine the statement, its maker, timing, knowledge and evidence of reliance, retaining warnings or disclosures that may contradict the allegation.

Alternative explanations

A failed forecast, market change, disagreement about scope or subsequent cash-flow difficulty does not itself establish fraudulent intent at payment.

Legal basis and verification limits

Article 1 links unlawful taking to fraudulent means, rather than treating failure alone as an offence. Paragraph Two of the issuing decree excludes fraud governed by the Capital Market Law, so the investment’s legal character must be assessed first.

Review questions

  • Which specific statement influenced payment?
  • Was it a statement of existing fact or an identified projection?
  • What shows it was false when made and connected to the payment?

Relevant records

  • The proposal actually provided before payment and negotiation records
  • Documents supporting or contradicting the disputed statement
  • Contract, transfers and lawfully available use-of-funds records

Hypothetical example

Hypothetical example: a proposal states that a customer contract is signed, but records show only incomplete negotiations. Review the actual version, timing and the speaker’s knowledge; the project’s loss alone is insufficient.

A proposed preventive control

Does the business verify material representations before funding, investing or advancing payment and retain the decision record?

Questionnaire options: Yes, Partly, No, Unknown, Not applicable. Unknown triggers verification; Not applicable needs an applicability reason. Neither is treated as a missing control.

When professional help is useful

To request a paid legal consultation, begin with a brief non-confidential description. Identifying the parties, checking conflicts and agreeing scope and fees come before work. The consultation includes an initial review of documents within an agreed scope, a meeting to discuss the facts and questions, and a concise written summary of options, missing information and the next step in the agreed language. Internal investigations, settlement, complaints and representation are separate engagements when needed. Company representation and individual defence are separate paths subject to position and conflicts.
