The practical question and its limits

Do later losses prove that an earlier dividend was unlawful?

Start by identifying what happened and who is authorized to act, separating verifiable records from unproven conclusions. Companies subject to the Companies Law, when distributing dividends, incorporating, increasing capital or reallocating interests; company form and listing status affect applicable rules.

Legal framework and verification limits

Companies Law Article 22 distinguishes an improper distribution from a lawful distribution followed by later losses. Article 261(f) addresses a bad-faith decision to distribute, distribution or receipt contrary to the Law or company documents, and separately addresses the informed auditor. Article 261(g) concerns knowing inflation or false statements about in-kind contributions, allocation of interests or shares, or payment of their value in the specified settings. A difference between two valuations does not by itself establish the offence.

What could change the interpretation?

Different valuation dates, market changes, different asset scope or a correctable error may explain the discrepancy. A record missing from one person’s file may exist elsewhere. Ask authorized custodians about its source, version and date, and record both supporting and contrary evidence.

Records and questions

  • Distribution resolution and underlying financial statements
  • Valuation report, assumptions and valuation date
  • Title documents and restrictions affecting the asset
  • Approval minutes and recorded reservations
  • Were distributable profits available when the decision was made?
  • What information did each person have when approving or receiving payment?
  • Did a disclosed assumption or inaccurate information drive the valuation change?

Hypothetical example

Hypothetical example: machinery contributed in a capital increase is later sold for less. The sale price alone cannot establish whether the earlier valuation was mistaken or deliberately inflated. Compare condition, dates and information supplied to the valuer.

Initial response and readiness

If authorized, identify custodians and the relevant preservation scope while retaining originals and context. Do not alter source files or access personal accounts or devices without authority. If harm continues or proceedings are known, obtain advice on context-specific action. These steps do not automatically call for confrontation, dismissal or reporting. Document and review the distribution basis before approval; separate valuation preparation from acceptance and record conflicts and assumptions.

Professional review

Technical questions may require an accountant or another specialist. Their findings on value, images or data flows do not replace analysis of legal responsibility. Identify the prospective client before seeking the case file: company representation and defence of an individual are separate routes, and joint representation is not assumed.

Request a consultation

A paid legal consultation begins with identifying the parties, a conflict check and agreement on scope and fees. It includes an initial review of documents within an agreed scope, a meeting to discuss facts and questions, and a brief written summary of options, missing information and the next step in the agreed language. An internal investigation, settlement, report or representation requires a separate engagement as appropriate.
