The practical question and its limits

A missed payment does not prove fraud. Which transactions warrant review?

Start by identifying what happened and who is authorized to act, separating verifiable records from unproven conclusions. Distress or actual or potential bankruptcy proceedings; distinguish debtor, management, creditor and trustee and establish timing in relation to the procedure.

Legal framework and scope

Begin with the company’s position and any existing procedure: closing a business is not simply distributing remaining cash. Companies Law Article 242(2) addresses a statement prepared before dissolution showing insufficient assets or distress; subject to its conditions, a dissolution decision may not be taken in that situation. Where a company has been terminated and its assets are insufficient, or it is distressed within the meaning of the Bankruptcy Law, Article 244(3) requires an application to the competent judicial authority to initiate a liquidation procedure under that Law. Review asset sales, payments and waivers in light of the company’s stage and relevant restrictions and decisions. A late payment or discounted sale does not itself establish an offence. Criminal assessment is separate from measuring liquidity and selecting a procedure, and requires analysis of the act, circumstances, records and applicable provision. The statutory discussion here distinguishes liquidation routes; it does not catalogue bankruptcy offences or penalties.

What could change the interpretation?

Loss may reflect commercial failure or a liquidity shock; a sale may form part of a justified rescue attempt. Assess information and alternatives available when the decision was made. A record missing from one person’s file may exist elsewhere. Ask authorized custodians about its source, version and date, and record both supporting and contrary evidence.

Records and questions

  • Distress and liquidity timeline and management decisions
  • Asset disposal contracts, consideration and valuations
  • Creditor and security schedules and payment records
  • Books, claims, procedure orders and any approved plan
  • Has a procedure opened, and what orders or restrictions apply?
  • What did the transaction actually do to assets and creditor rights?
  • Were there connected interests, inadequate consideration or withheld information?

Hypothetical example

Hypothetical example: a distressed company discounts stock to raise cash. The discount alone does not determine the legal position. Review prices, alternatives, purpose, effect, applicable restrictions and procedural timing.

Initial response and readiness

If authorized, identify custodians and the relevant preservation scope while retaining originals and context. Do not alter source files or access personal accounts or devices without authority. If harm continues or proceedings are known, obtain advice on context-specific action. These steps do not automatically call for confrontation, dismissal or reporting. Establish a distress escalation process that preserves cash forecasts and decision reasons and refers material transactions and connected interests for appropriate review.

Professional review

Technical questions may require an accountant or another specialist. Their findings on value, images or data flows do not replace analysis of legal responsibility. Identify the prospective client before seeking the case file: company representation and defence of an individual are separate routes, and joint representation is not assumed.

Request a consultation

A paid legal consultation begins with identifying the parties, a conflict check and agreement on scope and fees. It includes an initial review of documents within an agreed scope, a meeting to discuss facts and questions, and a brief written summary of options, missing information and the next step in the agreed language. An internal investigation, settlement, report or representation requires a separate engagement as appropriate.

Consultation and next steps

The consultation is paid. Work starts after identifying the parties, checking conflicts and agreeing scope and fees. It includes an initial review of agreed documents, a meeting and a brief written summary of options, missing information and the next step in the agreed language.

Internal investigation, settlement, reporting and representation are separate engagements. Representation of an affected company and defence of individuals are separate routes subject to conflict checks.
