The practical question
A manager has extensive powers. Is the concern the delegation itself, or who actually conducts and benefits from the business?
Businesses with a gap between their documented arrangement and actual operations; the activity and applicable licensing or registration at the relevant time need review.
Start with control and economic benefit rather than a list of employees’ nationalities. Compare contractual authority with actual pricing, hiring, collections and returns. A single discrepancy may reveal outdated delegation or weak governance. Equally, having a contract does not settle the status of the actual arrangement. Review evidence both supporting and challenging the explanation before assessing the applicable law and permissions.
Alternative explanations
Legitimate management delegation, documented agency or performance-linked remuneration. An owner’s absence or a manager’s nationality cannot determine the result.
Legal framework and scope
Article 2 of the Implementing Regulations of the Anti-Concealment Law specifies arrangements enabling unlawful unrestricted control of an establishment and takes account of employment contracts granting a share of profits or revenue. Performance-linked pay or a single management power is insufficient to determine legal classification; the actual arrangement, authority and applicable regulatory framework require review. This explains the cited provision rather than providing a complete account of concealment offences.

Review questions
- Who actually bears profit and loss?
- Is authority exercised for the business or for the individual’s own account?
- Does actual activity match the documented legal arrangement?
Relevant records
- Formation documents and relevant licences or registrations
- Management, employment, agency and delegation records
- Profit allocation, funding and bank-authority records
Hypothetical example
Hypothetical example: a manager handles procurement and hiring under delegated authority, while the company receives profits and supervises accounts. This differs from an allegation of operating for the manager’s own account; the tool cannot choose between them without evidence.
A proposed preventive control
Do actual financial and management powers match contracts, delegations and the documented allocation of returns?
Questionnaire options: Yes, Partly, No, Unknown, Not applicable. Unknown triggers verification; Not applicable needs an applicability reason. Neither is treated as a missing control.
When professional help is useful
To request a paid legal consultation, begin with a brief non-confidential description. Identifying the parties, checking conflicts and agreeing scope and fees come before work. The consultation includes an initial review of documents within an agreed scope, a meeting to discuss the facts and questions, and a concise written summary of options, missing information and the next step in the agreed language. Internal investigations, settlement, complaints and representation are separate engagements when needed. Company representation and individual defence are separate paths subject to position and conflicts.
